SGXbot — Terms
Welcome to SGXbot. These Terms ("Terms") govern your access to and use of the SGXbot platform and the SGX Nova™ autonomous AI sales assistant service (collectively, the "Service") provided by SGXbot. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account, subscribing to a plan, or using any part of the Service, you confirm that you are at least 18 years of age and have the legal capacity to enter into these Terms. The Service is not available to individuals under the age of 18.
2. Description of Service
SGXbot provides SGX Nova™, an autonomous AI-powered sales assistant that integrates with your business website. SGX Nova™ offers AI chat, AI voice interaction, automated quote generation, and appointment booking functionality. The Service is delivered as a Software as a Service (SaaS) platform accessible via the internet.
3. Account Registration and Onboarding
To use the Service, you must complete the registration process and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials. You must complete the onboarding workbook provided by SGXbot, which supplies SGX Nova™ with the information necessary to represent your business accurately, including your services, pricing, service areas, and business details.
You are solely responsible for the accuracy of the information provided in the onboarding workbook. SGXbot and SGX Nova™ are not responsible for any misinformation, inaccuracies, or errors in responses generated by the AI based on information you have provided or failed to provide.
4. Subscription Plans and Pricing
The Service is offered on a monthly subscription basis at the following tiers:
- Starter: $199/month
- Professional: $299/month
- Business: $399/month
- Enterprise: $499/month
5. Payment and Billing
Subscription fees are billed in advance on a monthly basis. Payment is due at the beginning of each billing cycle. Failure to pay may result in suspension or termination of your access to the Service. All fees are non-refundable. There is no refund or cancellation credit policy. You are responsible for any applicable taxes.
6. Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No partial refunds or credits will be issued for unused time within a billing cycle. Upon cancellation, your access to the Service will continue until the end of the paid period, after which your account will be deactivated.
7. Data Ownership and Chat Data
All data generated through the Service, including but not limited to chat transcripts, voice interactions, AI-generated responses, lead capture data, booking records, and analytics, is owned exclusively by SGXbot. You do not own, and are not granted any proprietary rights to, the data generated through the use of the Service.
SGXbot does not store chat transcripts beyond what is necessary for the operational functionality of the Service. SGXbot does not sell, share, or distribute your business data or customer interaction data to any third party.
8. Data Retention and Deletion
If your subscription is not renewed or is cancelled, your account data, including onboarding information, configuration settings, and any associated records, will be retained for a period of six (6) months following the end of your subscription. After this six-month period, all data will be permanently deleted. If you wish to request early deletion of your data, you may contact [email protected].
9. AI-Generated Content Disclaimer
SGX Nova™ is an artificial intelligence system that generates responses based on the information provided during onboarding and through its training. SGXbot does not guarantee the accuracy, completeness, or appropriateness of any AI-generated content. SGXbot and SGX Nova™ are not liable for any decisions, transactions, or outcomes resulting from AI-generated responses, quotes, or recommendations provided to your website visitors or customers.
You acknowledge that AI technology may occasionally produce inaccurate, incomplete, or inappropriate responses. It is your responsibility to monitor and review the Service's performance and to correct any issues in the onboarding configuration as needed.
10. Prohibited Uses
You agree not to use the Service for any unlawful, harmful, or prohibited purpose. Without limitation, you may not use the Service:
(a) For any website, business, or service involving adult content, sexually explicit material, pornography, escort services, or any similar adult-oriented business or activity.
(b) To promote, facilitate, or engage in illegal activities, including but not limited to fraud, money laundering, drug trafficking, or weapons sales.
(c) To harass, threaten, defame, or discriminate against any individual or group.
(d) To distribute spam, malware, or other harmful content.
(e) To impersonate any person, business, or entity.
(f) To collect or harvest personal information from end users without their consent.
(g) To violate any applicable local, state, national, or international law or regulation.
SGXbot reserves the right to immediately suspend or terminate your account without notice if you are found to be in violation of these prohibited uses.
11. Intellectual Property
All intellectual property rights in the Service, including but not limited to software, algorithms, designs, trademarks, trade names, and AI models, are owned by SGXbot. SGX Nova™ is a trademark of SGXbot. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business purposes during your active subscription period.
All AI-generated content produced by the Service is owned by SGXbot. You are granted a license to use such content in connection with your business operations during your active subscription.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SGXbot SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. SGXbot'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE DURING THE THREE (3) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless SGXbot, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
14. Modifications to Terms
SGXbot reserves the right to modify these Terms at any time. Changes will be communicated via email to the address associated with your account or posted on the SGXbot website. Your continued use of the Service after such notification constitutes acceptance of the modified Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the courts located in the Commonwealth of Virginia.
