SaaS Subscription Agreement

This SaaS Subscription Agreement ("Agreement") is entered into between SGXbot ("Provider") and you ("Subscriber") upon your subscription to the SGXbot platform and SGX Nova™ service.

1.Service Description

The Provider grants the Subscriber a limited, non-exclusive, non-transferable right to access and use the SGX Nova™ autonomous AI sales assistant service during the subscription period. The Service includes AI-powered chat, voice interaction, quote generation, and appointment booking capabilities deployed on the Subscriber's website.

2. Subscription Terms

This Agreement operates on a month-to-month basis. There is no long-term contract. There is no minimum commitment period. The Subscriber may cancel at any time. Cancellation takes effect at the end of the current billing cycle.

3. No Contract, Cancel Anytime

Your subscription to SGXbot is entirely voluntary and may be terminated at any time without penalty. There are no early termination fees, cancellation fees, or lock-in periods. Simply notify us of your intent to cancel, and your Service will remain active through the end of your current paid billing period.

4. Onboarding and Configuration

Upon subscribing, the Subscriber must complete the onboarding workbook provided by SGXbot. This workbook collects information about the Subscriber's business, including services, pricing, service areas, operating hours, and other details necessary for SGX Nova™ to accurately represent the Subscriber's business. The Subscriber is responsible for providing accurate and complete information. SGXbot is not responsible for AI responses based on inaccurate, incomplete, or outdated onboarding information.

5. Intellectual Property and AI-Generated Content

All AI-generated content produced by the Service, including but not limited to chat responses, voice responses, quotes, and recommendations, is owned by SGXbot. The Subscriber is granted a non-exclusive license to benefit from such content during the active subscription period. Upon cancellation, this license terminates. The SGXbot platform, SGX Nova™ technology, algorithms, software, trademarks, and all associated intellectual property remain the exclusive property of SGXbot.

6. Data Upon Cancellation

Upon cancellation of the subscription, the Subscriber's account data, onboarding configuration, and associated records will be retained for six (6) months. After this period, all data will be permanently deleted. The Subscriber may request deletion of their data at any time by contacting [email protected]. Data deletion requests will be processed within 30 days.

7. Fees and Payment

Subscription fees are billed monthly in advance. All fees are non-refundable. The Provider reserves the right to change pricing with 30 days' advance written notice. The Subscriber's continued use of the Service after a price change constitutes acceptance of the new pricing.

8. Service Availability

SGXbot will use commercially reasonable efforts to maintain the availability of the Service. However, the Provider does not guarantee uninterrupted or error-free operation. Scheduled maintenance, updates, and upgrades may temporarily affect availability. The Subscriber will be notified of planned maintenance when practicable.

9. Updates and Upgrades

SGXbot may update, modify, or enhance the Service from time to time. The Subscriber will be notified of material updates or changes. Updates may include new features, improvements, or modifications to existing functionality. Continued use of the Service after updates constitutes acceptance of the changes.

10. Limitation of Liabilitys

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." SGXbot MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SGXbot IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OF THE SERVICE.

11. AI Disclaimer

SGX Nova™ is an artificial intelligence system. While designed to provide helpful and accurate information, AI-generated responses may contain errors, omissions, or inaccuracies. SGXbot is not responsible for any business decisions, financial transactions, or customer interactions based on AI-generated content. The Subscriber assumes all risk associated with the use of AI-generated responses in their business operations.

12. Governing Law

This Agreement shall be governed by the laws of the Commonwealth of Virginia. Any disputes shall be resolved in the courts of Virginia.
